About us and these Terms
These terms and conditions (‘Terms’) apply to every order placed on licensgo.co.uk (the ‘Store’). The Store is operated by Licensgo LLC, a limited liability company formed in the State of Delaware, United States, whose address is 651 North Broad Street, Suite 205, Middletown, Delaware 19709, United States (‘Licensgo’, ‘we’, ‘us’ or ‘our’). You can contact us by email at info@licensgo.co.uk, and further company details are on our Legal notice page. Please read these Terms before you place an order: by placing an order, you accept them. If you are a consumer, nothing in these Terms affects your statutory rights.
We may update these Terms from time to time, for example to reflect changes in the law or in the products we sell. Changes apply only to orders placed after the new version is published: your order is governed by the version in force when you placed it. The date of the current version is shown at the top of this page, and you can print or save a copy of these Terms at any time.

Definitions
Store – the Licensgo online shop at licensgo.co.uk.
Customer – any person, business or organisation that places an order through the Store (‘you’). You are a ‘consumer’ if you are an individual buying wholly or mainly for purposes outside your trade, business, craft or profession; otherwise you are a ‘business customer’. Where a part of these Terms applies only to consumers or only to business customers, we say so.
Product – a digital software product supplied electronically, as described on its product page: a licence key for a perpetual licence or a fixed-term subscription, or a subscription assigned to your account with the software manufacturer (for example an Autodesk seat). The product page states the main features, the edition and version, the duration, the number of devices or users, the system requirements and compatibility (for example ‘Windows only’) and whether you need an account with the manufacturer. All payments are one-off: no product renews automatically, and we do not supply physical goods.
Licence key – a unique alphanumeric code that activates a software product.

Ordering and the contract
To place an order, add the products you want to your basket, go to checkout and enter your details. Before you pay, the checkout shows a summary of your order with the total price including VAT, and you can correct any input errors by going back to your basket or by editing your details. You then confirm that you want immediate delivery (see section 6) and press the ‘Pay now’ button, which places an order with an obligation to pay. Your order is an offer to buy the selected products at the prices shown. We confirm receipt of your order on screen, and the contract is formed when we send you the email confirming your order. That email contains the details of your order, the information about your right to cancel and a record of the consent you gave at checkout: please keep it. The contract is concluded in English. We keep a record of your order, and you can ask us for a copy at any time.
We may refuse an order, or cancel it before we supply the product, if we reasonably suspect fraud, if the product is not available, or if the price or description shown on the Store contains an obvious error. If this happens, we will tell you by email and refund in full any amount you have paid within 14 days, using the same payment method.

Delivery
We supply all products digitally: there is no physical delivery and no delivery charge. Depending on the product, we send the licence key, download link and activation instructions to the email address you give at checkout, or we assign the subscription to your account with the manufacturer (for example your Autodesk account) using the email address you give us. Delivery usually takes from a few minutes to a few hours after your payment is confirmed.
Please check that the email address you enter at checkout is correct. If you have not received your product within a few hours, check your spam or junk folder and then contact us: we will send it again or help you to receive it. We are not responsible for delays caused by an incorrect email address that you entered.

Prices and payment
All prices are in pounds sterling (£) and include UK VAT at 20%. There are no delivery charges or other extra charges, and we do not charge any fee for the payment method you use. The total price, including VAT, is shown in your basket and at checkout before you place your order. Discount codes can be used only under the conditions stated when they are offered (for example the validity period and the eligible products), and some products cannot be discounted.
You can pay by credit or debit card, Apple Pay or Google Pay. Payments are processed securely by our payment provider, Nexi: we do not see or store your full card details. Payment is taken when you place your order.

Your right to cancel
If you are a consumer, you have a legal right to cancel your contract within 14 days without giving any reason, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. The cancellation period ends 14 days after the day on which the contract is formed, that is, the day we send you our order confirmation email. For digital products, however, the right to cancel ends earlier once supply has started with your consent, as explained below. The right to cancel does not apply to business customers.
Licence keys and other digital content: at checkout we ask you to confirm that you want your order delivered straight away and that you understand you will lose your 14-day right to cancel once the licence has been delivered. Once you have given that consent and we have sent you the licence key or download link, you can no longer cancel the contract; until then, you can still cancel. We record your consent and confirm it in your order confirmation email. Subscriptions assigned to your account with the manufacturer (for example Autodesk seats): the same applies once the subscription has been made available in your account. If the law treats such a subscription as a service rather than digital content, you can still cancel within the 14-day period, but you will have to pay for the part of the subscription provided until you told us that you were cancelling, and you lose the right to cancel once the service has been fully provided. None of this affects your rights if a product is faulty (see section 7).
To cancel, tell us clearly that you want to cancel the contract, for example by email to info@licensgo.co.uk, giving your name and order number. You can use the model cancellation form that we send with your order confirmation, but you do not have to. To meet the deadline, it is enough to send your message before the cancellation period ends, and we will confirm receipt by email. We will refund all payments received from you, less any amount due for a service already provided as explained above, without undue delay and no later than 14 days after the day you told us that you were cancelling. We will use the same payment method that you used for the order, unless you expressly agree otherwise, and you will not pay any fee for the refund.

Faulty products, refunds and our extra guarantee
This section explains what you can do if there is a problem with your product. Sections 7.1 and 7.2 summarise your statutory rights as a consumer. Sections 7.3 to 7.6 describe our extra guarantee, which we offer in addition to those rights and which does not replace or limit them.
7.1 Your statutory rights
If you are a consumer, the Consumer Rights Act 2015 gives you rights that we cannot exclude or limit. Digital content, such as a licence key or a subscription, must be of satisfactory quality, fit for any particular purpose you told us about and as described; what we told you about it before you bought it also forms part of the contract; and we must have the right to supply it to you. Any service we provide, such as assigning a subscription to your account or technical support, must be carried out with reasonable care and skill. Nothing in these Terms affects these rights. Free advice about your rights is available from Citizens Advice.
7.2 If your product is faulty or not as described
If your product is faulty, not as described or not fit for purpose, you can ask us to repair or replace it, for example with technical help or a new licence key. If this is impossible, or if we do not fix the problem within a reasonable time and without significant inconvenience to you, you can ask for a price reduction, which can be up to the full price. A fault that appears within 6 months of supply is presumed to have existed from the start, unless we prove otherwise. If we did not have the right to supply the licence to you, you are entitled to a full refund. If digital content that we supply damages your device or other digital content because we did not use reasonable care and skill, we will repair the damage or compensate you. To make a claim:
- Email us with your order number and a description of the problem; a screenshot of any error message helps us to solve it quickly.
- If we replace the licence or refund you, stop using the original licence and deactivate it on your devices, because it will be blocked.
- We will make any refund due within 14 days of agreeing that you are entitled to it, using the same payment method and at no cost to you.
7.3 Our extra guarantee
In addition to your statutory rights, we offer all our customers, consumers and business customers alike, the following guarantee. (a) Change of mind or purchase mistake: within 14 days of your order, you can ask us to replace your product (for example if you bought the wrong edition) or to refund it, as long as the licence has not been activated or used and has not been passed on to anyone else. (b) Licence not as described: if a licence does not work as described on the product page, for example because it cannot be activated or is later blocked by the manufacturer for a reason not caused by you, and we cannot fix this with technical help or a replacement licence, we will refund the full price, whenever the problem arises and even if the licence has been activated.
7.4 How to use our extra guarantee
Email us with your order number and tell us which part of the guarantee you are using. If a licence does not work, describe the problem and send us any evidence you have, such as a screenshot of the error message, so that we can try to fix it first. Once we have approved your request, we will make the refund within 14 days, using the same payment method that you used for the order.
7.5 When our extra guarantee does not apply
Part (a) of the extra guarantee does not apply if the licence has already been activated, used or passed on to someone else, or if you ask more than 14 days after your order. Part (b) does not apply if you refuse the technical help or the replacement licence we offer. In these cases you keep your statutory rights described in sections 7.1 and 7.2.
7.6 Before you activate a licence
Before you activate a licence, please check that it is the product, edition and version you need and that it is compatible with your device and operating system, as stated on the product page: once a licence has been activated, part (a) of our extra guarantee no longer applies. When we replace or refund a licence, the original licence is deactivated and can no longer be used.

Our promises and liability
We promise that every licence we sell is genuine, that we have the right to supply it to you and that it matches the product, edition and version described on the product page.
If we break these Terms or fail to use reasonable care and skill, we are responsible for loss or damage you suffer that is a foreseeable result of our breach; we are not responsible for loss or damage that is not foreseeable. We do not exclude or limit our liability where the law does not allow us to do so, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation and for breach of your statutory rights. If you are a business customer, we are not liable for loss of profits, revenue, business, data or business opportunity, or for any indirect or consequential loss, and our total liability for each order is limited to the price you paid for that order.

Software licences and intellectual property
The software is owned by its manufacturer (for example Microsoft, Adobe or Autodesk) and is protected by intellectual property law. Your use of the software is governed by the manufacturer's licence terms (the end-user licence agreement, or EULA, or the subscription terms), which you accept when you install or activate it. We do not grant you any rights in the software beyond those terms.
Licence keys are supplied for your own use or, if you are a business customer, for use within your organisation. You must not resell, sublicense or redistribute them commercially, or publish them, without our prior written consent. This does not affect any right you have, under the manufacturer's licence terms or by law, to transfer a licence that you no longer use.

Governing law and disputes
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales. If you are a consumer, you can bring proceedings in the courts of England and Wales; if you live in Scotland or Northern Ireland, you can also bring proceedings in the courts of Scotland or Northern Ireland, and you keep the protection of the mandatory consumer law of the part of the United Kingdom where you live. If you are a business customer, the courts of England and Wales have exclusive jurisdiction. We are not a member of any alternative dispute resolution (ADR) scheme: if you are not satisfied with our final response to a complaint, you can get free advice from Citizens Advice or bring a claim in the courts.
